By commissioning or hiring me, you explicitly agree to the terms described below.

 

Overview

  • The terms described here are general and applicable to all projects. However, upon starting a new project, a dedicated agreement document will be created based on the specific terms discussed and approved for that project.
  • In the event of any conflict between the terms described in this document and the terms explicitly stated in the dedicated project agreement, the project-specific written agreement will take precedence.
  • Any remaining terms not directly contradicted in writing through a dedicated project document or agreement shall remain fully valid and applicable.
  • Upon payment, you acknowledge that you have read, understood, and agreed to the Terms and Conditions described in this document.

 

Project Queue

  • All projects are only started after being properly scheduled within my personal work queue and availability, and are handled in the order they are confirmed unless otherwise agreed.
  • Scheduled production dates are generally fixed once agreed upon and will not be changed unless explicitly communicated otherwise. However, earlier availability may occasionally become possible depending on workload, in which case the client will be notified if production can begin ahead of the originally planned date.
  • Although this is not expected to happen, I reserve the right to decline, pause, reschedule, or cancel any project at my sole discretion and without obligation to provide a reason.
  • Rush work or priority scheduling may require additional fees.

 

Workflow

  • Every project is developed as a unique and exclusive work tailored to the client’s specific needs and requirements, with focus on quality, functionality, and the final requirements agreed.
  • The developer guarantees that the work will meet the specifications and functionality outlined in the project scope. However, the developer is not liable for issues beyond the agreed-upon scope, including third-party service failures, external integration issues, or back-end-related problems.
  • For projects that use my base templates (or third-party), while the core structure may be retained, all requested modifications, adaptations, and implementations will be uniquely developed according to the project’s individual goals, resulting in a distinct and exclusive final product.
  • For certain recurring or more general types of work, I may use previously developed internal foundations, systems, or workflows that are already polished and functional, adapting them to the unique needs and characteristics of each project, making the process faster and more cost-efficient for the client. This approach is always clearly communicated in advance, with the option for a fully custom, from-scratch development if preferred.
  • The use of AI tools is limited to development assistance and related workflows. I do not use generative AI for illustrations, assets, or similar creative and artistic content. Except when used as placeholders, references, or when explicitly requested and funded by the client.
  • Force Majeure applies when the developer is not responsible for delays caused by events beyond their control, including but not limited to natural disasters, pandemics, or other unforeseen circumstances.

 

Revisions & Changes

  • Each project includes a limited number of revisions agreed upon before production begins, with good faith, reasonable communication, and mutual understanding expected from both parties throughout the revision process.
  • The revision scope includes minor adjustments, small visual refinements, balancing tweaks, polishing, text corrections, alignment fixes, color adjustments, and other changes that do not significantly alter the originally approved direction or production scope.
  • The revision scope excludes major visual redesigns, replacement of approved concepts, significant gameplay or system changes, large-scale asset replacements, or full illustration redraws.
  • Additional revisions, major changes, or requests outside the original scope may require additional payment and result in a new estimated final delivery date or project rescheduling.

 

Communication

  • All communication is generally handled directly through email, in either a formal or informal manner depending on the client’s preference, unless another platform or communication method is agreed upon.
  • Communication is conducted in English by default, but may also be handled in Portuguese (my native language) or Spanish, depending on the client’s preference.
  • Although I aim to respond as quickly as possible, response times may occasionally be delayed depending on workload and ongoing projects. In most cases, replies will not exceed two business days.
  • Mutual understanding and reasonable communication from both parties are expected.
  • Communication may occur on any day or time when available. However, all development, production, and related services are performed exclusively on business days, excluding weekends, official Brazilian holidays, and following the BRT time zone.
  • I do not participate in in-person meetings, video calls, voice calls, or similar forms of communication. In order to preserve project information, agreements, and communication clarity, all discussions must be conducted in written form for easier reference and documentation.

 

Payment

  • The final price of the project, or its individual stages, will be agreed upon in writing by both parties. Prices may vary significantly depending on scope, development time, licensing, complexity, and overall project requirements.
  • Payments are generally handled in stages for larger scopes and long-term projects. In some cases involving a fixed final price, an initial payment of 70% of the total agreed amount is required before development begins, with the remaining 30% required for final delivery. Payment structures may vary depending on the written agreement for each project.
  • The default pricing is negotiated in US dollars (USD). The minimum price for very simple projects is 30 USD. Projects with a final value below 200 USD are handled through a single full payment before development begins. For projects starting at 200 USD or higher, payment may be divided according to the staged structure described above, unless otherwise agreed in writing.
  • The development phase of the project will not begin until the agreed initial deposit or full payment has been received.
  • The developer retains all rights and exclusive usage licensing over the project and source code until full payment has been completed. Any agreed license or usage rights are only granted after the final payment has been received, if applicable.
  • Payments must be made through the agreed payment platform, preferably via USDT or Wise. Payments made through PayPal or other platforms may include an additional 10% fee added to the final amount.
  • Late or missing payments may result in project delays, paused work, or project cancellation.

 

Refund

  • In the event of project cancellation by the client, refunds are not available once production has started, including cases of project abandonment, change of mind, or cancellation for any reason. Paid amounts are intended to cover the work, time, effort, scheduling, and any potential losses or damages caused by the interruption or cancellation of the project.
  • If the client cancels the project, any remaining future payments previously agreed upon will no longer be required. This condition applies exclusively to projects structured in development phases or staged payments.
  • In the event of project cancellation by the creator, initiated on my side (excluding delays, rescheduling, or temporary postponements), whether partially or fully, a refund may be issued to the client at my discretion, depending on the stage and amount of completed work.

 

Delivery

  • A delivery timeframe will be established for the project, but all time estimates may change depending on project scope, revisions, workload, or unforeseen circumstances.
  • Final delivery will only be provided once the project has been completed, approved, and all applicable payments have been finalized, including the client’s final confirmation and feedback regarding project completion.
  • Once everything has been finalized and approved, delivery will be made within 3 business days (72 hours) after final remaining payments confirmation, if applicable.  This allows for proper organization, packaging, and final review of all files to ensure everything is complete and delivered correctly.
  • Project files may be delivered through private download links, cloud storage services, version control platforms, or digital distribution platforms such as OneDrive, GitHub, or itch.io, depending on the project requirements and delivery method used. Depending on the selected delivery method, download access may remain available only for a limited period of time.
  • Backup copies are strongly recommended. While I may keep a copy of the project available for resending or support purposes when possible, I am not responsible for long-term file storage or backup management. The client is fully responsible for creating and maintaining secure backup copies of all delivered files and materials.

 

Support

  • For any support requests or questions before, during, or after project completion, feel free to get in touch. I will do my best to assist with anything within my capabilities and availability.
  • After project completion, you may expect support for at least 6 months from the delivery date as a general support period. However, even after this period, I may still provide assistance whenever reasonably possible.
  • Support includes bug fixes, error corrections, and minor adjustments to issues not previously identified. It may also include clarification of delivered features, small improvements for stability or usability, and assistance with properly running or understanding the delivered project within its original scope.
  • Support does not include installation, feature additions, or customization services. Such requests may require a separate agreement and additional work arrangement.

 

Lisence & Ownership

  • The client has the right to use and publish the final project across any materials, platforms, or media, for both personal and commercial purposes.
  • The project is granted to the client under exclusive usage rights. These rights are non-transferable and do not permit reuse or multiple deployments of the same project for unrelated purposes (for example, repurposing a published game for a store's external marketing campaigns), whether modified or unmodified, outside the agreed scope and license.
  • Multiple use is permitted only when granted under a new license or when implemented through modifications or adaptations contracted directly with me.
  • I retain full intellectual ownership and copyright over the developed work, including my contributed code, artwork, assets, systems, and any original material created or used by me during the project, which is licensed for the client’s use without transferring authorship or original intellectual rights.
  • In the case of template modifications, the terms of the originally acquired license, whether standard or extended, shall remain valid and governing for usage and compliance.
  • The project, including source code, editable files, assets, or any final files delivered to the client, may not be resold, redistributed, sublicensed, leaked, or claimed as authored by the client.
  • I guarantee that your project will never be used to develop or adapt personal work, third-party projects, or work for other clients.

 

Portfolio & Credit

  • I retain the right to showcase completed work in my website, portfolios, social media, promotional materials, storefronts, or presentations, unless otherwise agreed in writing based on the client’s preference.
  • All public presentation of the project will only occur after completion, upon the client’s release and approval, and never during development, in order to preserve confidentiality and the client’s intended release schedule.
  • Custom projects do not require attribution or credits. However, credit is always appreciated when applicable. Example credit: “Development by Twisted By Art ©”.

 

Responsibilities

  • The client must provide clear instructions, references, feedback, and any additional required materials within a reasonable and previously agreed timeframe. Delays in communication, missing materials, or prolonged inactivity may result in delayed delivery, project rescheduling, or cancellation.
  • Any subsequent changes made to the code, assets, or file structure are not the developer’s responsibility, including issues caused by edited, third-party tools, plugins, services, or external integrations.
  • The developer is also not responsible for damages, losses, platform issues, legal claims, or third-party conflicts resulting from the use or misuse of the project.
  • The work may be included in projects that contain AI-related features, provided the commissioned work itself is not used, in whole or in part, for AI training, machine learning datasets, generative content systems, model fine-tuning, or automated asset generation pipelines.
  • It is strictly prohibited to use the project, or any delivered material for illegal activities, hate speech, harassment, discrimination, extremist content, malicious software, deceptive practices, or any content intended to harm individuals, groups, or communities.
  • The client is responsible for ensuring proper usage within applicable laws, rules, and licenses. The creator assumes no responsibility for any abusive, harmful, illegal, or unethical use of the project or delivered materials.

 

Terms & Legal

  • These Terms may be updated at any time at my discretion. The version active at the start of the project will apply to the respective engagement. If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
  • In the event of a dispute, both parties agree to first attempt to resolve the matter amicably through direct communication. If a resolution cannot be reached, both parties agree to seek mediation or arbitration before pursuing any legal action.
